Welcome to IncomeOn.com. These Terms of Use ("Terms") govern your access to and use of IncomeOn.com, our mobile applications, the IncomeOn Lens browser extension, and all related services (together, the "Services"). Get Technologies ("IncomeOn", "we", "us" or "our") operates the Services.

Please read these Terms carefully. By registering an account, accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, Legal Notice, Product Listing Policy, Intellectual Property Protection Policy and any other policies posted on the Platform (together, the "Policies"). If you do not agree, please do not use the Services.

1. About IncomeOn

IncomeOn is an online business-to-business (B2B) marketplace. It connects buyers with manufacturers, suppliers and service providers. Through the Platform, users can:

• search and browse products and suppliers;
• post and respond to Requests for Quotation (RFQs);
• communicate with other users;
• place and manage orders;
• use order protection services such as Trade Assurance.

Unless expressly stated otherwise, IncomeOn is not the buyer or seller of products listed on the Platform. Contracts for the sale of goods or services are made directly between buyers and suppliers.

2. Eligibility

To use the Services, you must:

• be at least 18 years old and able to enter into legally binding contracts;
• use the Services for business or professional purposes;
• not be barred from using the Services under the laws of Pakistan or any other applicable jurisdiction;
• not be subject to sanctions or listed on any government restricted-party list.

If you register on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these Terms. In that case, "you" refers to the organisation.

3. Your Account

3.1 Registration. You must provide accurate, current and complete information when creating an account, and keep it up to date.

3.2 Account security. You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately at support@incomeon.com if you suspect unauthorised use.

3.3 One account. Unless we approve otherwise, each user may hold only one account. Accounts may not be sold, transferred or shared without our written consent.

3.4 Verification. We may ask you to provide documents to verify your identity or business, such as a business registration certificate, tax details or licences. We may limit or suspend your account until verification is complete.

4. Use of the Services

You agree to use the Services only for lawful purposes and in line with these Terms and the Policies. You must not:

• post false, inaccurate, misleading or fraudulent information;
• list or sell prohibited, restricted (without proper licences), counterfeit or infringing products;
• infringe any third party's intellectual property, privacy or other rights;
• impersonate any person or company, or misrepresent your connection with anyone;
• send spam, unsolicited messages or chain letters to other users;
• collect other users' personal information without their consent;
• use the Platform to divert transactions off IncomeOn to avoid fees or order protection;
• manipulate prices, reviews, ratings, rankings or search results;
• use robots, scrapers or other automated tools to access or copy the Platform;
• upload viruses or malicious code, or interfere with the Platform's security or operation;
• attempt to gain unauthorised access to any part of the Platform or other users' accounts;
• engage in money laundering, fraud or any other illegal activity.

5. Listings and User Content

5.1 Your responsibility. You are solely responsible for all content you post on the Platform, including listings, images, descriptions, prices, company profiles, messages and reviews ("User Content"). Your User Content must comply with our Product Listing Policy and all applicable laws.

5.2 Licence to IncomeOn. By posting User Content, you grant IncomeOn a worldwide, non-exclusive, royalty-free, transferable licence to use it for operating, displaying, promoting and improving the Services. This includes the rights to host, copy, display, adapt, translate and distribute it. This licence ends when you remove the content or close your account, except where the content has been shared with others or must be kept for legal reasons.

5.3 Your warranties. You confirm that you own or have the right to use all User Content you post, and that it does not infringe anyone's rights.

5.4 Our rights. We may review, edit, hide or remove any User Content at our discretion, particularly if it breaches these Terms or the Policies. We are not obliged to monitor all User Content.

6. Transactions Between Users

6.1 Direct contracts. When a buyer and supplier agree to a transaction, the contract is between them. The buyer and supplier are each responsible for meeting their own obligations, including:

• product quality, specifications and compliance;
• payment, delivery, customs, duties and taxes;
• warranties, returns and after-sales service.

6.2 Due diligence. IncomeOn does not guarantee the identity, reliability or financial standing of any user, or the quality, safety or legality of any product. Buyers and suppliers should carry out their own checks before entering into transactions.

6.3 Order protection. Orders placed and paid through the Platform may be covered by IncomeOn's Trade Assurance and related order protection services. Coverage is subject to the specific terms of those services, including eligibility requirements and the claim window.

6.4 Disputes between users. If a dispute arises, users should first try to resolve it directly. For eligible orders, users may file a dispute through our Dispute & Claim Center or by emailing support@incomeon.com. IncomeOn may help mediate, but its decisions on order protection claims do not replace either party's legal rights.

7. Payments and Fees

7.1 Payments. Payments on the Platform are processed through our approved payment partners. By making a payment, you also agree to the payment partner's terms.

7.2 Fees. Some Services, such as supplier memberships, verification, advertising and transaction services, may be subject to fees. Applicable fees will be shown to you before you are charged. Unless stated otherwise, fees are non-refundable.

7.3 Taxes. You are responsible for any taxes, duties and charges that apply to your use of the Services and your transactions.

7.4 Currency. Prices may be displayed in PKR, USD, RMB or other currencies for convenience. Converted amounts are estimates, and the final amount will be shown at checkout.

8. Intellectual Property

All content and materials provided by IncomeOn on the Platform are owned by IncomeOn or its licensors and are protected by intellectual property laws. This includes the IncomeOn name, logo, trademarks, software, design and text. You may not use them without our prior written permission, except as allowed in our Legal Notice.

If you believe your intellectual property rights have been infringed on the Platform, please follow the process set out in our Intellectual Property Protection Policy.

9. Third-Party Services and Links

The Services may include links to, or integrations with, third-party websites and services. These include payment processors, logistics providers and inspection agencies. IncomeOn is not responsible for third-party services, and your use of them is subject to their own terms.

10. Suspension and Termination

10.1 By IncomeOn. We may, without prior notice, limit, suspend or terminate your account or access to any part of the Services if:

• you breach these Terms or any Policy;
• we suspect fraud, illegal activity or infringement;
• we receive valid complaints about your account;
• we are required to do so by law or a government authority;
• your actions could cause harm or legal liability to IncomeOn or other users.

10.2 By you. You may close your account at any time by emailing support@incomeon.com with the subject line "Account Closure Request". You must first complete or cancel any open orders, disputes and payouts.

10.3 Effect of termination. When your account ends, your right to use the Services stops immediately. Any provisions of these Terms that by their nature should continue will survive termination. These include provisions on content licences, disclaimers, limitation of liability, indemnity and governing law.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, INCOMEON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. INCOMEON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY INFORMATION ON THE PLATFORM IS ACCURATE OR COMPLETE.

12. Limitation of Liability

To the maximum extent permitted by law:

• IncomeOn and its affiliates, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages. They are also not liable for any loss of profits, revenue, business, goodwill or data arising from your use of the Services.
• IncomeOn shall not be liable for the acts, omissions, products or content of any user or third party.
• IncomeOn's total liability for any claim relating to the Services shall not exceed the greater of (a) the fees you paid to IncomeOn in the 12 months before the claim, or (b) USD 100.

Nothing in these Terms limits any liability that cannot be limited under applicable law.

13. Indemnity

You agree to indemnify and hold harmless IncomeOn, its affiliates, directors, employees and agents from any claims, losses, damages, liabilities, costs and expenses, including reasonable legal fees. This applies to anything arising from:

• your use of the Services;
• your User Content;
• your transactions with other users;
• your breach of these Terms or any Policy;
• your violation of any law or third-party right.

14. Governing Law and Disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts at Lahore, Pakistan, unless mandatory law applicable to you requires otherwise.

Before starting legal proceedings, you agree to contact us at support@incomeon.com and try to resolve the dispute informally for at least 30 days.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. If we make significant changes, we may also notify you by email or through the Platform. Continued use of the Services after changes are posted means you accept the revised Terms.

16. General Provisions

• Entire agreement: these Terms and the Policies form the entire agreement between you and IncomeOn regarding the Services.
• Severability: if any provision is found invalid or unenforceable, the remaining provisions stay in full force.
• No waiver: our failure to enforce any right does not waive that right.
• Assignment: you may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets.
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
• Language: if these Terms are translated, the English version prevails in case of any conflict.
• Notices: we may send you notices by email or through the Platform. You may send notices to us at support@incomeon.com.
