Comprehensive Governance & Compliance Framework

IncomeOn Global Marketplace Trading Policies & Rules of Conduct

Effective Date: October 2025 | Last Revised: 2026
This comprehensive document sets forth the mandatory legal terms, ethical standards, product listing rules, intellectual property protection covenants, trade fulfillment standards, and dispute arbitration procedures applicable to all buyers, manufacturers, exporters, wholesale distributors, and commercial entities operating on the IncomeOn global B2B trade platform.

1. Scope, Jurisdiction & Acceptance of Terms

1.1 Contractual Relationship: This Marketplace Trading Policies and Rules Agreement ("Agreement", "Policy", or "Rules") constitutes a legally binding contract between IncomeOn (collectively referred to as "the Platform", "we", "us", or "our") and any registered individual, enterprise, verified manufacturer, wholesale merchant, or buying entity (referred to as "User", "You", "Buyer", "Seller", or "Supplier") accessing, browsing, posting inquiries, listing inventory, or concluding commercial transactions via IncomeOn and its related digital applications.

1.2 Universal Application: By creating an account, publishing a product listing, submitting a Request for Quotation (RFQ), requesting factory audits, or utilizing our secure messaging system, you unequivocally agree to be bound by every clause, annex, and supplementary policy referenced herein. If you represent a registered business entity, you warrant and represent that you possess full legal authority to bind that corporate body to these terms.

1.3 Subordinate Documentation: These Rules operate in conjunction with IncomeOn's Terms of Use, Privacy Policy, Product Listing Policy, and Intellectual Property Protection Directives. In the event of any irreconcilable discrepancy between general promotional statements and the explicit text of these Policies, the stipulations of this document shall govern.

2. User Eligibility, Identity Verification & Account Governance

2.1 Commercial Purpose Requirement: IncomeOn is exclusively a business-to-business (B2B) trade platform. Accounts may only be registered by legitimate commercial enterprises, sole proprietors, licensed wholesale operators, procurement agents, and corporate entities. Individual consumer transactions not intended for commercial distribution, resale, manufacturing input, or industrial consumption are expressly outside the operational remit of the Platform.

2.2 Mandatory Enterprise Authentication: To ensure cross-border transparency and eliminate fictitious shell operations, every Seller and Verified Manufacturer must complete our multi-tier verification process prior to publishing products or responding to RFQs:

  • Official Registration Documentation: Submission of valid government-issued Business Licenses, Tax Identification Certificates, Articles of Incorporation, and Export/Import Licenses.
  • Legal Representation Verification: Proof of identity (passport or national ID card) of the legal representative or authorized corporate signatory.
  • Financial Channel Authentication: Verification of an operational corporate bank account matching the registered entity name. Personal accounts are strictly prohibited for institutional settlements.
  • Physical Workshop & Factory Audits: For the "Verified Manufacturer" designation, suppliers must submit to physical on-site audits, geolocation verification, machinery inventory logs, and production capacity certification.

2.3 Account Security & Non-Transferability: Users are strictly responsible for preserving the confidentiality of their login credentials, API access tokens, and two-factor authentication keys. Account credentials may not be leased, sub-licensed, sold, assigned, or shared with unauthorized third-party trading intermediaries without written authorization from IncomeOn. All activities executed under an authenticated account shall be legally attributed to the registered corporate owner.

3. General Trading Ethics & Commercial Integrity Code

3.1 Good Faith Negotiations: All parties shall conduct commercial discussions, RFQ responses, contract executions, and delivery logistics with utmost good faith, honesty, and commercial professionalism. Misrepresentation of manufacturing capacity, product origins, raw material grades, delivery timelines, or technical certifications is strictly prohibited.

3.2 Anti-Bribery & Fair Competition: IncomeOn maintains a zero-tolerance policy regarding commercial corruption, bribery, illicit kickbacks, undisclosed referral fees, or extortion. Users shall not offer gifts, financial inducements, or favors to platform employees, inspection personnel, or buyer agents to secure favorable search placement, verification badges, or dispute outcomes.

3.3 Prohibition of Collusion & Price Fixing: Suppliers shall not participate in horizontal price-fixing cartels, collusive bidding on public RFQs, or malicious boycott campaigns aimed at unfairly suppressing competing manufacturers or manipulating market prices.

3.4 Platform Communication & Record Retention: For your security and to ensure enforceable evidence in the event of trade disputes, all formal quotations, technical specifications, Golden Sample approvals, purchase order addenda, and payment terms must be documented via the IncomeOn platform communications portal.

4. Comprehensive Product Listing & Prohibited Items Policy

4.1 Listing Accuracy & Fidelity: Every product uploaded to the IncomeOn marketplace must provide truthful, clear, and comprehensive product information. Product descriptions must accurately state material composition, dimensions, weight tolerances, manufacturing certifications, packaging standards, and origin. Stock photographs must represent actual mass-production units or genuine factory prototypes.

4.2 Absolute Prohibited Items: The manufacture, listing, quotation, or international shipment of the following product categories is strictly prohibited on IncomeOn:

  • Weapons & Military Equipment: Firearms, ammunition, explosive devices, military hardware, combat knives, tactical weapons, and components intended primarily for offensive military weapon systems.
  • Hazardous & Unregulated Chemicals: Toxic industrial poisons, ozone-depleting substances under Montreal Protocol, chemical precursors for illicit substances, radioactive materials, and unregulated explosive propellants.
  • Controlled Pharmaceuticals & Medical Contraband: Prescription-only active pharmaceutical ingredients (APIs), uncertified medical diagnostics, narcotics, steroids, and regulated medicinal compounds lacking global health authority export clearance.
  • Counterfeit & Replica Goods: Unauthorized copies of trademarked brands, replica luxury watches, counterfeit consumer electronics, fake designer apparel, or clone automotive safety components.
  • Endangered Species & Wildlife By-Products: Raw ivory, animal pelts of protected species, endangered timber (CITES Appendix I & II species without valid certification), and live animals.
  • Stolen Goods & Illegal Surveillance Gear: Espionage equipment, signal jammers, unauthorized wiretapping hardware, lock-picking tools, and hardware designed to defeat cybersecurity protections.
  • Sanctioned Country Contraband: Any goods or services sourced from, or destined for, jurisdictions, entities, or individuals subject to trade embargoes and sanctions administered by the United Nations, European Union, United States Office of Foreign Assets Control (OFAC), or other competent regulatory bodies.

Mandatory Compliance Notice: Any attempt to list prohibited contraband will result in immediate permanent account termination, forfeiture of pending listings, and mandatory referral of corporate identification to international customs and law enforcement agencies.

5. Intellectual Property Rights Protection (IPR) & DMCA Notice

5.1 Respect for Proprietary Rights: IncomeOn vigorously respects intellectual property rights, including registered trademarks, patents, industrial design registrations, trade dress, and copyrighted material. Users are expressly forbidden from listing items that infringe upon third-party intellectual property.

5.2 OEM / ODM Tooling & Proprietary CAD Security: When a Buyer shares proprietary CAD drawings, custom mold specifications, 3D prototypes, or private formulation recipes with a Manufacturer on IncomeOn:

  • The Supplier agrees to hold such information in strict confidence under non-disclosure obligations.
  • The Supplier shall not manufacture, replicate, display, or sell products utilizing the Buyer's custom molds or proprietary designs to any third party without explicit written authorization.
  • Any unauthorized production or leakage of custom tooling shall constitute an egregious breach resulting in immediate platform expulsion and full legal indemnification.

5.3 Notice and Takedown Procedure (DMCA / IPR Claim): Intellectual property owners or authorized legal representatives who identify infringing listings on IncomeOn may submit a formal Takedown Notice containing:

  1. Identification of the copyrighted work, trademark, or patent claimed to have been infringed (including registration numbers and issuing authority).
  2. Specific URL links to the allegedly infringing product listings on IncomeOn.
  3. Contact details of the rights owner (full corporate name, address, telephone, and email).
  4. A statement signed under penalty of perjury declaring that the notifier is authorized to act on behalf of the intellectual property owner.

Upon receipt of a valid notice, our Trust & Legal Department will disable the flagged listing within 24 business hours and notify the affected seller.

5.4 Counter-Notification & Repeat Infringer Policy: If a Supplier believes their listing was mistakenly removed, they may submit an official Counter-Notice providing proof of licensing, non-infringement, or authorization. Suppliers receiving three (3) validated IPR strikes within a 12-month period will face automatic permanent account blacklisting.

6. Manufacturing, Technical Specifications & AQL Quality Control

6.1 Golden Sample Standard: For customized OEM/ODM production, the mutually signed physical pre-production sample ("Golden Sample") and technical drawing package shall serve as the definitive standard of workmanship, material grade, color tolerance (Pantone/RAL), and functional performance.

6.2 ISO 2859-1 (AQL) Quality Standard: Unless an alternative statistical sampling methodology is explicitly specified in the written Purchase Agreement, all manufacturing orders on IncomeOn shall be governed by the International Standard ISO 2859-1 (ANSI/ASQ Z1.4) General Inspection Level II with default acceptance quality limits:

  • Critical Defects: AQL 0.0 (Zero tolerance — any safety, hazard, or regulatory violation constitutes immediate batch rejection).
  • Major Defects: AQL 2.5 (Functional failure, severe cosmetic flaws, barcode scan failures).
  • Minor Defects: AQL 4.0 (Minor cosmetic variances not impairing functionality or salability).

6.3 Right to Independent On-Site Inspection: Buyers retain the absolute right to commission independent third-party quality control inspections (Initial Production Check, DUPRO, Final Random Inspection, Container Loading Check) at the manufacturing facility prior to releasing final balance payments. Suppliers must grant unhindered access to assembly floors, testing equipment, and packed inventory during reasonable business hours.

7. Pricing, Quotation (RFQ) Integrity & Payment Conduct

7.1 Quotation Validity & Price Stability: Quotations submitted in response to Buyer RFQs must include a clear validity window, precise unit price, minimum order quantity (MOQ), applicable Incoterm (e.g., FOB Shanghai, EXW Ningbo, CIF Hamburg), tooling/NRE costs, and standard lead times. Suppliers may not retroactively increase agreed unit prices after contract execution due to predictable raw material fluctuations unless an indexed price-escalation clause was expressly contracted.

7.2 Structured Commercial Terms: Standard international manufacturing contracts concluded through IncomeOn should adhere to recognized milestone structures:

  • Deposit Milestone: Typically 30% upon Purchase Order confirmation and Golden Sample approval to procure raw materials.
  • Production Milestone: 40% upon successful Mid-Production (DUPRO) audit or completed manufacturing.
  • Balance Milestone: 30% released only after Final Random Inspection (FRI) pass certification and issuance of Bill of Lading copy.

7.3 Prohibition of Off-Platform Payment Solicitation: To protect both buyers and sellers from commercial fraud, chargebacks, and non-delivery, all transaction records, formal invoices, and trade contracts must be maintained in coordination with IncomeOn. Suppliers are strictly forbidden from enticing buyers to wire funds to unverified personal accounts or unregistered financial offshore entities.

8. Packaging, Logistics & International Shipping Standards (Incoterms)

8.1 Incoterms 2020 Compliance: All shipping quotes, customs declarations, and logistics agreements must explicitly state the applicable International Commercial Terms (Incoterms 2020) defining risk transfer, freight responsibility, and import tariff clearance (e.g., EXW, FOB, FCA, CIF, CFR, DDP).

8.2 Export Packaging Standards: Sellers are legally obligated to package goods in accordance with international ocean freight and air cargo standards:

  • Carton Durability: Master cartons must utilize multi-layer corrugated cardboard (minimum 5-ply double-wall, 200+ lbs/in² burst strength) capable of passing standard ISTA 1A drop testing.
  • Palletization & Shrink-Wrapping: Standard heat-treated ISPM-15 compliant wooden or plastic pallets, reinforced corner protectors, and heavy-duty moisture barrier shrink wrap.
  • Shipping Marks & Barcodes: Legible, waterproof exterior shipping marks indicating Gross Weight, Net Weight, Carton Dimensions, Country of Origin, and scannable GS1-standard UPC/EAN barcodes.

8.3 Customs Documentation & Origin Integrity: Exporters must provide accurate, non-fraudulent export documentation, including Commercial Invoices, Packing Lists, Certificates of Origin (Form A / Form E / EUR.1 where applicable), Material Safety Data Sheets (MSDS), and Mill Test Certificates. Under-invoicing or misclassifying HS Codes to evade import duties is strictly prohibited.

9. Order Disputes, Evidence-Based Arbitration & Claims Settlement

9.1 Dispute Escalation Framework: In the event of a commercial disagreement concerning quality defects, order quantity shortages, specification deviation, or shipment delays exceeding agreed lead times, the dispute shall proceed through our formal 3-tier arbitration framework:

  1. Tier 1 - Direct Commercial Negotiation (Days 1–7): Parties engage in good-faith negotiations via the platform message portal to agree on remedy options (re-work, discount allowance, replacement units, or delivery extension).
  2. Tier 2 - IncomeOn Trade Arbitration (Days 8–21): If direct talks stall, either party may elevate the matter to the IncomeOn Dispute Arbitration Committee. Both parties must submit physical evidence, laboratory test certificates, inspection reports, purchase orders, and customs entry documents.
  3. Tier 3 - Binding Technical Determination: The Arbitration Committee, assisted by independent ISO-accredited inspection laboratories, renders a final determination detailing fault allocation, refund amounts, remanufacture timelines, or return authorizations.

9.2 Remedy & Compensation Guidelines:

  • Confirmed Major Quality Failure (Failed AQL): The Supplier must remanufacture the defective batch at their sole expense or issue a full pro-rata refund for affected units within fourteen (14) calendar days.
  • Unexcused Shipment Delay: Delays exceeding agreed contract dates by more than 15 business days without documented Force Majeure entitle the Buyer to a standard liquidated damage compensation of 0.5% of the delayed shipment value per day (capped at 15% total value).
  • Complete Non-Delivery: Immediate 100% refund of all deposited funds, supplier account demotion, and blacklisting.

10. Data Protection, Corporate Privacy & Commercial Confidentiality

10.1 Data Governance & Privacy: IncomeOn collects and processes business data in strict accordance with international data protection frameworks, including the General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA). Personal data of corporate representatives will never be sold or rented to third-party marketing brokers.

10.2 Commercial Confidentiality: All procurement RFQs, bill of materials (BOM), pricing tier agreements, factory capacity audits, and trade documentation exchanged between authenticated users are classified as proprietary commercial secrets. IncomeOn implements enterprise-grade TLS 1.3 encryption for data in transit and AES-256 bit encryption for data at rest.

10.3 Data Subject Rights: Registered users possess the right to access, rectify, restrict processing, or request deletion of their corporate account profile and contact details upon formal written request to our Data Protection Officer at info@incomeon.com.

11. Infractions, Violation Point System & Account Penalties

11.1 Objective Enforcement: IncomeOn utilizes an objective, cumulative infraction point scoring mechanism to penalize violations, eliminate repeat bad actors, and maintain the highest level of marketplace integrity.

Violation Category Infraction Description & Examples Penalty Points Platform Sanctions

11.2 Point Expiration & Rehabilitation: Penalty points remain active on a supplier's account profile for a period of twelve (12) consecutive months from the date of issuance. If an account accumulates 48 total points within any rolling 12-month window, the account is permanently terminated without eligibility for re-registration.

12. Limitation of Liability, Indemnification & Force Majeure

12.1 Platform Role as Information Marketplace: IncomeOn functions as an online B2B matching and digital infrastructure provider connecting independent buyers and independent third-party manufacturers. Except where expressly agreed in writing under specialized procurement management contracts, IncomeOn is not the legal seller, manufacturer, importer of record, or freight forwarder of the physical merchandise exchanged between users.

12.2 Limitation of Damages: To the maximum extent permitted by applicable commercial law, IncomeOn and its affiliates, directors, employees, and agents shall not be held liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, commercial interruption, reputational loss, or supply chain downtime) arising from the use of the platform or transactions concluded between users.

12.3 Comprehensive Indemnification: Users agree to defend, indemnify, and hold harmless IncomeOn, its parent corporation, subsidiaries, officers, and technical personnel from and against any and all claims, liabilities, losses, damages, customs fines, and legal expenses arising from:

  • Any breach of this Policy, product listing laws, or commercial contracts by the User.
  • Any infringement of third-party patent, trademark, copyright, or trade secret rights caused by products uploaded or supplied by the User.
  • Any product liability injury, physical damage, or regulatory penalty resulting from defective goods manufactured or distributed by the User.

12.4 Force Majeure Events: Neither party shall be held liable for failure or delay in fulfilling trade obligations if such failure arises from causes beyond reasonable control, including acts of God, extreme meteorological events, regional war, armed hostilities, international port embargoes, government trade sanctions, global pandemics, or national grid/telecommunication disruptions. The affected party must provide documented notice to IncomeOn and the counterparty within five (5) business days.

13. Policy Amendments, Severability & Official Contact Channels

13.1 Periodic Updates: IncomeOn reserves the right to amend, update, or supplement these Trading Policies and Rules at any time to reflect international trade regulations, cybersecurity protocols, or marketplace developments. Substantial revisions will be posted publicly with an updated "Last Revised" timestamp. Continued access or usage of the Platform following such modifications constitutes irrevocable acceptance of the revised terms.

13.2 Severability: If any provision, clause, or covenant of this Agreement is held to be invalid, illegal, or unenforceable by an international arbitral tribunal or competent court of law, such determination shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

13.3 Official Legal & Compliance Contacts: For formal policy inquiries, intellectual property notices, dispute arbitrations, or whistleblower reports, please reach out to our dedicated departments:
